& Terms of Auction Participation

I. Inspection Standards

BDF Capital maintains rigorous quality assurance protocols administered by Master ASE Technicians and ASE-Certified mechanics. Our selective standards result in only 20% of inventory qualifying for auction.

1.1 Inspection Guarantee

All assets are guaranteed to match their online descriptions. Our 14-day satisfaction guarantee applies when:

• Vehicle is returned in original condition
• Written notice is received within 14 calendar days of physical receipt

1.2 Inspection Limitations

Buyer acknowledges that:

• Inspections cannot reveal all potential mechanical issues
• BDF Capital cannot guarantee future performance
• Vehicle history reports may contain incomplete information
• Buyer bears final responsibility for vehicle evaluation

1.3 Buyer's Right to Independent Inspection

Buyer is entitled, at their own expense, to arrange a pre-purchase or post-delivery inspection by a qualified third party of their choosing, including placement of the vehicle on a lift, diagnostic scan (including DME/over-rev scan where applicable), paint-meter evaluation, underbody and leak inspection, and road test. Such inspection must be conducted within the 14-day satisfaction period. BDF Capital will make the vehicle reasonably available for inspection upon request.

II. Payment Policy

2.1 Accepted Payment Methods

For transaction security, we exclusively accept bank wire transfers.

2.2 Payment Instructions

Successful bidders will receive within 24 hours:

• Recipient banking details
• Routing information
• Unique wire reference number
• Detailed payment deadline

Buyer must monitor both primary inbox and spam folder for this communication.

Payment Deadline: Payment must be received in full within 48 hours of auction close or Buy It Now confirmation.

2.3 Payment Default Consequences

Failure to remit payment constitutes breach of contract and will result in:

• Immediate account suspension
• Forfeiture of all deposits
• Liquidated damages equal to 10% of purchase price
• Reporting to credit bureaus
• Potential civil litigation under Minnesota Statutes Chapter 336 (Uniform Commercial Code)

III. Delivery Services

3.1 Delivery Terms

• Service Area: Nationwide coverage
• Dispatch Schedule: Weekly shipments every Monday
• Transport Methods: Enclosed trailers for standard vehicles, flatbed/lowboy trailers for oversized assets, specialized equipment for non-operational RVs

3.2 Delivery Pricing

• Free Delivery: First 500 miles
• Extended Distance: $1/mile thereafter
• Timelines: 14-day maximum for U.S. deliveries; 22-day maximum for Canadian deliveries
• Insurance Coverage: $25,000-$3,000,000 policies based on vehicle value

IV. Warranty Program

4.1 Standard Coverage

All purchases include a 6-month limited warranty covering mechanical components while excluding:

• Cosmetic imperfections (documented in listings)
• Pre-existing conditions disclosed in the listing
• Routine maintenance items
• Aftermarket accessories

4.2 Extended Warranty

Optional extension available for up to 5 years total coverage. Terms include:

• Co-Pay: Up to $50 per service visit (adjustable)
• Non-Transferable: Valid only for original purchaser
• State Compliance: We honor all applicable statutory warranties

V. Return Policy

5.1 14-Day Satisfaction Guarantee

All purchases are eligible for full refund within 14 days when:

• Asset is returned in original condition
• Buyer-caused damage voids eligibility

Valid grounds for rejection include, but are not limited to: undisclosed mechanical defects, accident or body repairs, paintwork discrepancies, drivetrain concerns, DME/over-rev anomalies, fluid leaks, structural issues, or any material discrepancy from the advertised condition.

The 14-day period begins upon the Buyer's physical receipt of the vehicle, not on the purchase or payment date.

5.2 Return Process

• Initiate request within 14 calendar days of physical receipt
• Contact customer service before 5 PM CST
• Our team manages all return logistics

5.3 Non-Returnable Items

• Modified vehicles (modifications not disclosed in the listing)
• Accident-damaged units (damage caused by Buyer after delivery)

Repossessed and lien-held assets are fully eligible for return under the 14-day satisfaction guarantee, provided the asset is returned in its original condition and rejection is based on valid grounds as defined in Section 5.1.

5.4 Refund Processing

• Immediate initiation upon approved return
• Standard processing: within 24 hours on business days; up to 48 hours over weekends
• Timing subject to financial institution policies

5.5 Return Transportation

In the event of an approved rejection under the 14-day satisfaction guarantee, BDF Capital shall bear all costs associated with pickup and return transportation of the vehicle. Pickup will be arranged within a reasonable timeframe, typically within a few business days of the approved rejection. Refund is processed immediately upon approval, but pickup may take additional time to arrange and complete.

VI. Title & Ownership Transfer

6.1 Title Transfer Requirements

Buyer must:

• Provide valid government-issued photo ID
• Complete all required DMV paperwork
• Pay all applicable taxes and fees
• Maintain adequate insurance coverage

6.2 Title Delay Penalties

Failure to complete title transfer within 30 days of receipt of title documents will result in:

• $25/day late fee (applied after a 10-day grace period for documented DMV processing delays)
• Suspension of warranty coverage
• Possible reporting to state authorities

VII. General Provisions

7.1 Governing Law

This Agreement shall be governed by Minnesota law. Any disputes must be litigated in Hennepin County District Court, Minnesota.

7.2 Attorney's Fees

Prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.

7.3 Entire Agreement

This document supersedes all prior agreements and may only be modified in writing signed by both parties. Written representations made by BDF Capital via email regarding inspection rights, return eligibility, or refund terms shall be considered incorporated herein.

VIII. Dispute Resolution

8.1 Mandatory Arbitration

Any disputes arising from this agreement shall be resolved through binding arbitration in Hennepin County, Minnesota under the rules of the American Arbitration Association. The parties acknowledge that under the Minnesota Revised Uniform Arbitration Act (Minnesota Statutes Chapter 572B), arbitration clauses are enforceable and arbitration replaces the right to a jury trial for covered disputes.

8.2 Class Action Waiver

Buyer waives any right to participate in class actions or collective claims against BDF Capital.

8.3 Jurisdiction

All legal proceedings not subject to arbitration shall be filed exclusively in Hennepin County, Minnesota courts.

IX. Acknowledgment

I hereby certify under penalty of perjury that:

1. I have read and understood all terms of this agreement
2. I am legally authorized to enter into this contract
3. All information provided is truthful and accurate
4. I acknowledge my bids constitute binding offers
5. I understand the legal consequences of non-payment
6. I voluntarily waive any trial rights for disputes

This agreement constitutes the entire understanding between parties and supersedes all prior agreements. No verbal representations or promises are binding unless contained herein.
